Buying or selling a cannabis business in Oakland, California

Federal and state law current as of September 2026 — verify with counsel.

Oakland permits cannabis businesses through the City Administrator's cannabis permit office under Municipal Code Chapters 5.80 and 5.81, with at least half of permits reserved for equity applicants. Since Ordinance 13775 in December 2023, an equity permit can be transferred to a general applicant after a holding period. City cannabis tax runs from 0.12% to 5% of gross receipts.

Key takeaways

  • Oakland's Equity Permit Program, adopted in 2017, requires that at least 50% of cannabis permits go to verified equity applicants.
  • Ordinance 13775, adopted 5 December 2023, lets an equity applicant transfer a permit or local authorisation to a general applicant three years after applying or one year after permit approval, whichever comes first.
  • The city cannabis tax is 0.12% on the first $1.5 million of gross receipts for equity businesses and the first $750,000 for general businesses, rising to 5% in higher tiers.
  • A retailer or indoor cultivator above $5 million in gross receipts pays 5% on every dollar, not marginally, which creates a sharp cliff just above $5 million.
  • Oakland caps tax rebates so that no cannabis business can fall below a 2.5% effective rate for the 2026 tax year.

Who permits cannabis businesses in Oakland?

The City Administrator’s cannabis permit office, under Oakland Municipal Code Chapter 5.80 for dispensaries and Chapter 5.81 for cultivation, manufacturing, distribution, and other facilities. A state licence from the Department of Cannabis Control is also required; see the California page. Permits are tied to a specific address, so the premises and the lease move with the deal.

The Equity Permit Program

Oakland’s City Council created the Equity Permit Program in spring 2017 to prioritise people harmed by cannabis enforcement. At least half of permits issued go to verified equity applicants.

The city’s tax notice restates the test from Municipal Code sections 5.80.050 and 5.81.060. An equity owner must be an Oakland resident with income in the last year at or below 80% of Oakland average median income adjusted for household size, and must either have lived at least 10 of the last 20 years in one of roughly 21 named police beats, or have been convicted of a cannabis crime committed in Oakland after 5 November 1996.

Can an Oakland equity permit be sold?

Yes, and this is what separates Oakland from Los Angeles and San Francisco. On 5 December 2023 the Council adopted Ordinance 13775 C.M.S., amending Chapters 5.80 and 5.81 to let an equity applicant transfer a local authorisation or permit to a general applicant. The gate is three years from submission of the application or one year from permit approval, whichever comes first, on a notarised transfer request form.

In practice an Oakland equity permit has real market value to a non-equity buyer once the clock runs, which is not true of a Los Angeles Tier 1 equity licence. The buyer does lose the equity tax rate on transfer. Compare social equity license transfer restrictions and selling a social equity license.

Local cannabis taxes

Oakland’s 2026 rates are unchanged from the schedule adopted in 2022 and are marginal by tier.

Gross receiptsEquity: retail and indoor cultivationGeneral: retail and indoor cultivation
Up to $750,0000.12%0.12%
$750,000 to $1.5 million0.12%4.00%
$1.5 million to $5 million5.00%5.00%
Over $5 million5.00%, non-marginal5.00%, non-marginal

Outdoor cultivation, manufacturing, and packaging and storage run at 4.50% in the $1.5 million to $5 million band and 3.50% for general businesses between $750,000 and $1.5 million. Distribution is lower, at 2.50% and 3.00% in those bands and 4.00% above $5 million. A vertically integrated business pays whichever rate produces the highest liability on total gross receipts.

Two points matter in a deal. The non-marginal rule above $5 million for retail, delivery, and indoor cultivation is a cliff: at $5,000,001 the 5% applies to every dollar. And the equity rate band is worth roughly $30,000 a year at $1.5 million of retail receipts, which disappears on a transfer.

Rebates under Municipal Code section 5.04.267 can shave several points for local hiring of equity employees, equity supply-chain sourcing, workforce pay, and incubating an equity business with free rent. They are floored: no business may drop below a 2.5% effective rate for 2026.

Payment is a licensing matter here, not just a tax matter. The city states that business tax payment is required to maintain any local cannabis authorisation or permit, and the 2026 declaration and payment were due postmarked by 2 March 2026. See selling with tax delinquency.

Zoning and buffers

An Oakland permit is premises-specific and requires zoning conformance for the address, so a buyer inherits a location that has already cleared the test. California’s statewide floor under Business and Professions Code 26054 keeps a licensed premises 600 feet from a K-12 school, day care centre, or youth centre that existed when the licence issued, and lets a city set a different radius. Confirm the parcel’s separation and zone rules with Planning and Building before pricing a relocation. Background: zoning, buffers, and conditional use permits.

Market conditions

Oakland sits in the same statewide contraction as the rest of California. The local difference is tax structure rather than tax level: a small equity operator pays almost nothing on its first $1.5 million, while a retailer crossing $5 million faces one of the steepest effective local rates in the state. That compresses the value of high-revenue Oakland retail relative to its top line; see how oversupply and price compression affect value.

Practical points for sellers

  • If you hold an equity permit, confirm your transfer eligibility date before marketing. It is the single fact that determines your buyer pool.
  • Produce clean cannabis tax declarations and proof of payment for every year. A lapse threatens the permit itself.
  • Show the buyer their post-transfer tax rate, not yours. Equity rates do not travel.

Practical points for buyers

  • Ask whether the permit is an equity permit and when the transfer window opened.
  • Rebuild the tax line at general rates, including the $5 million non-marginal rule, before agreeing a multiple.
  • Check the rebate claims in the historical numbers. Rebates that depended on equity hiring or free rent may not survive your ownership. A confidential intro call is a sensible place to work through that arithmetic.

Frequently asked questions

Can an Oakland equity cannabis permit be sold to a non-equity buyer?

Yes, since December 2023. Ordinance 13775 amended Municipal Code sections 5.80 and 5.81 to allow an equity applicant to transfer a local authorisation or permit to a general applicant. The transfer becomes available three years after the permit application was submitted or one year after the permit was approved, whichever comes first, using a notarised transfer request form.

Who qualifies as an Oakland cannabis equity applicant?

An Oakland resident whose household income in the last year was at or below 80 percent of Oakland average median income adjusted for household size, and who either lived at least 10 of the last 20 years in one of about 21 designated police beats, or was arrested after 5 November 1996 and convicted of a cannabis crime committed in Oakland.

What is the $5 million cliff in Oakland's cannabis tax?

Oakland's tiers are marginal, except for storefront retail, delivery, and indoor cultivation businesses above $5 million in gross receipts. Those pay a flat 5 percent on total gross receipts rather than only on the top tier. Crossing $5 million can cost more in tax than the extra revenue earns, so it matters in forecasts and earn-out design.

How much lower is Oakland's tax for an equity business?

The 0.12 percent starter rate runs to $1.5 million of gross receipts for an equity business and only to $750,000 for a general business. Above that, an equity retailer skips the 4 percent band that a general retailer pays between $750,000 and $1.5 million. Equity status must be confirmed by the City Administrator's cannabis permit office each year.

Can unpaid Oakland cannabis tax cost you the permit?

The city's renewal notice states that business tax payment is required to maintain any local authorisation or permit for cannabis activities. That makes a delinquent cannabis tax account a licensing risk, not just a debt. Declarations and payment for the 2026 tax year were due postmarked by 2 March 2026.
