Buying or selling a cannabis business in Hawaii
Federal and state law current as of September 2026 — verify with counsel.
Hawaii is medical-only. The Department of Health's Office of Medical Cannabis Control and Regulation licenses eight vertically integrated dispensary licensees, three of them in Honolulu, and has issued none since April 2016. A licence cannot be sold or transferred without the department's prior written approval, no person may hold more than one, and the applying entity must be at least 51 percent owned by long-term Hawaii residents.
Key takeaways
- Hawaii caps dispensary licences at eight statewide, allocated three to Honolulu, two each to Hawaii and Maui counties and one to Kauai, with none issued since 29 April 2016.
- Haw. Code R. 11-850-8 bars sale or transfer of a dispensary licence without prior written Department of Health approval, and limits any person to one licence.
- HRS 329D-3 requires the individual applicant to have been a Hawaii legal resident for at least five years and the entity to be at least 51 percent held by five-year Hawaii residents.
- Dispensary sales ran about $5.34 million in March 2025, roughly $64 million annualised, with 28,735 registered patients as of December 2025.
- There is no cannabis-specific excise tax; sales carry the 4 percent general excise tax plus a 0.5 percent county surcharge on Oahu, Hawaii and Kauai.
Is cannabis legal in Hawaii?
For registered patients only. The programme sits with the Department of Health’s Office of Medical Cannabis Control and Regulation (OMCCR), under HRS chapter 329D and administrative rules chapter 11-850. Adult-use sales are illegal.
Legalisation has repeatedly passed the Senate and died in the House. In the 2026 session the main legalisation bills stalled again, and the fallback measure, a low-dose bill capping servings at 5 mg THC, cleared the Senate but not the House. Anyone underwriting a Hawaii deal on an adult-use conversion is underwriting a guess.
What licences exist, and how many?
Eight, and no more for now. Rule 11-850-5 sets the allocation: three licences for the City and County of Honolulu, two for Hawaii County, two for Maui County and one for Kauai. The same rule allows additional licences based on qualifying-patient need, capped at one further licence per five hundred qualifying patients in a county, but none has been issued. Every licence is vertically integrated: a licensee grows, manufactures and retails under the one licence, and there is no standalone cultivation, manufacturing or retail licence to buy.
| Item | Hawaii rule |
|---|---|
| Licences statewide | 8: Honolulu 3, Hawaii 2, Maui 2, Kauai 1 |
| Last issuance | 29 April 2016; no window since |
| Structure | Vertically integrated; several licensees run three or four retail sites |
| Application fee | $5,000, non-refundable |
| Initial licence fee | $75,000 |
| Annual renewal | $50,000 |
| Minimum capital shown | $1,000,000 per licence plus $100,000 per retail location |
Fee and capital figures come from HRS 329D-4 and HRS 329D-3. With a closed window and a hard cap, Hawaii is one of the tightest limited-licence states in the country, which is the main thing supporting licence value here.
How does a sale work in Hawaii?
Through department approval, not assignment. Rule 11-850-8 states that a dispensary licence may not be sold or otherwise transferred from one person to another except with the prior written approval of the department, following notice under HRS 329D-5.5. The same rule limits any person to one dispensary licence, which forecloses an in-state roll-up of two or more of the eight.
Three practical consequences:
- The buyer has to qualify on its own facts. Approval is not a formality; the incoming owners must satisfy the same criminal-history, capital and residency tests as an original applicant. The general mechanics are in change of ownership approval.
- Changes get reported early. Under rule 11-850-27 a licensee must notify the department in writing at least 14 days before any change that may affect its qualifications, with supporting documentation.
- Walking away is not a fallback. Surrender under rule 11-850-26 requires destruction of all inventory and returns none of the licence fee.
Residency and ownership limits
This is the binding constraint on Hawaii deals. HRS 329D-3 requires the individual applicant to have been a Hawaii legal resident for at least five years before application, and requires the applying entity to be not less than 51 percent held by Hawaii legal residents, or entities wholly controlled by them, meeting the same five-year test. A mainland buyer cannot take control. Structures that reach the same economics through debt, management fees or profit interests run straight into true-party-of-interest analysis, so they belong in front of Hawaii counsel before an LOI is signed. Hawaii’s rule is stricter than most; see ownership caps and residency rules by state.
Taxes and track-and-trace
There is no cannabis excise or potency tax. Dispensary sales carry the general excise tax of 4 percent, plus the 0.5 percent county surcharge in Honolulu, Hawaii and Kauai counties, for 4.5 percent in those three. The Department of Health’s own tax working group report confirms the absence of a dedicated cannabis tax. Hawaii has not enacted a 280E decoupling statute, which matters less than it used to: because every Hawaii licensee is state-licensed medical, the April 2026 Schedule III order takes qualifying activity outside 280E going forward, and state conformity carries the deductions through. Hawaii uses BioTrack rather than Metrc for seed-to-sale reporting.
Market conditions
Small, stable and unusually well captured. BioTrack recorded about $5.34 million of dispensary sales in March 2025, roughly $64 million annualised, against 28,735 registered patients as of December 2025. An OMCCR-commissioned economic analysis published in December 2025 found the regulated channel takes roughly 86 percent of what registered patients spend, while accounting for about a third of all cannabis consumed in the state, and modelled $59 million to $95 million of monthly sales within five years if adult-use were legalised. Most of the volume is on Oahu; see Honolulu.
What this means for sellers and buyers
Sellers. You hold one of eight licences in a state with a closed window, no roll-up risk from the other seven, and a federal tax position that improved in April 2026. The buyer pool is narrow because control must stay with five-year Hawaii residents, so the realistic counterparty is a local group, an existing investor, or a mainland party taking a minority position. Build the residency and approval path into the process from the start rather than after an LOI.
Buyers. Verify residency-qualified equity before anything else, then diligence BioTrack data against the financials as set out in verifying revenue with track-and-trace data. Price on the medical patient base that exists today, not on an adult-use conversion. Hawaii has not published a licence transfer fee, so confirm current fees with OMCCR. Frequently asked questions
Can a Hawaii dispensary licence be bought outright?
Not without the Department of Health signing off first. Hawaii administrative rule 11-850-8 says a dispensary licence may not be sold or otherwise transferred from one person to another except with the department's prior written approval, after notice under HRS section 329D-5.5. In practice the buyer must independently satisfy the residency, ownership and financial tests that applied to the original licensee.
Can an out-of-state buyer acquire a Hawaii cannabis licence?
Only as a minority participant. HRS 329D-3 requires the licensed entity to be at least 51 percent held by people who have been Hawaii legal residents for five years, and the individual applicant must meet the same five-year test. A mainland buyer or multi-state operator can supply capital, management services or a minority stake, but cannot hold voting control of the licensee.
Are there any new Hawaii cannabis licences to apply for?
No. The only application window opened on 12 January 2016 and closed on 29 January 2016. Eight licences were issued that April and the statutory allocation has not been raised since, although the rules allow one extra licence per five hundred qualifying patients in a county if patient need supports it. Adult-use legalisation, which would have created a new licensing framework, stalled again in the 2026 session, so the only route into the Hawaii market is acquiring an interest in an existing licensee.
Does Hawaii charge a cannabis excise tax?
No. Hawaii never enacted a cannabis-specific excise or potency tax. Medical cannabis purchases carry the ordinary 4 percent general excise tax, plus the 0.5 percent county surcharge that applies in the City and County of Honolulu, Hawaii County and Kauai County, for an effective 4.5 percent in those counties. Maui County has no surcharge.
What happens if a Hawaii licensee just closes instead of selling?
Surrender is final and expensive. Under rule 11-850-26 a licensee may surrender at any time but must destroy all cannabis and manufactured products on hand, return the licence, state the reason for closure, name the people responsible afterwards and say where records will be kept. No part of the licence fee is refunded, and the licence does not go back into circulation for sale.
