Buying or selling a cannabis business in Nebraska
Federal and state law current as of September 2026 — verify with counsel.
Nebraska voters approved medical cannabis in November 2024, and the Nebraska Medical Cannabis Commission has licensed a small number of cultivators. As of September 2026 no dispensary has been licensed, manufacturer applications closed on 14 September 2026, and the commission has said updated regulations will not be final until 2027. There is no operating market to buy or sell yet.
Key takeaways
- Nebraska's medical cannabis programme came from two 2024 ballot initiatives: one protecting patients, the other creating the Nebraska Medical Cannabis Commission.
- The commission's manufacturer application window closed on 14 September 2026 with 10 applications submitted, well above the number of licences expected to be available.
- The commission has said it will not license product manufacturers or dispensaries until the fees for those licences are authorised, and it authorised fees of up to $50,000 per licence type.
- Updated regulations will not be final until 2027; a public hearing was set for 15 October 2026, with Attorney General and Governor approval still required.
- LB 677, the 2025 bill to build out a fuller regulatory framework, died in committee; the Legislature passed a narrower first medical cannabis law in April 2026.
Where Nebraska’s medical cannabis programme actually stands
Nebraska voters approved two medical cannabis measures in November 2024: one shielding qualifying patients from state prosecution, the other creating the Nebraska Medical Cannabis Commission to license and regulate a supply chain. Almost two years on, the supply chain is not built.
The state of play as of September 2026:
| Stage | Status |
|---|---|
| Cultivator licences | Issued to a small number of applicants; at least one approved to begin growing |
| Product manufacturer licences | Application window closed 14 September 2026 with 10 applications; no licences issued |
| Dispensary licences | None issued; commission says it will not license until the fees are authorised |
| Regulations | Updated rules not final until 2027; public hearing set 15 October 2026, then Attorney General and Governor review |
| Fees | Commission authorised fees of up to $50,000 per licence type but cannot collect until rules are adopted |
The legislative track has been just as slow. LB 677, the 2025 bill intended to build out a full regulatory framework, died in committee. The Legislature passed a narrower first medical cannabis law in April 2026, and a separate bill to give recommending physicians immunity stalled the same month. The commission is proceeding on its own with applications and fees, but confirmed in September 2026 that rulemaking slips to 2027.
What that means for a sale or purchase
There is no operating Nebraska cannabis business to buy. There are early licence holders and applicants, which is a different asset entirely. Pricing a pre-revenue position in a state whose rules are not final carries two risks that a normal deal does not: the regulations governing your transfer may not exist yet, and the caps and fees can still change before you open.
If you are looking at a Nebraska application or early licence, treat it as a capital commitment, not an acquisition. The approach in valuing a pre-revenue licence and the cautions in selling a pre-revenue or provisional licence both apply, with an extra discount for regulatory uncertainty. In particular, do not assume you can transfer anything: a state that has not published final change-of-ownership rules can adopt restrictive ones, as many have. Compare the transfer models in state licence transfer rules overview.
Nebraska also sits on the other side of the federal rescheduling question. The April 2026 order put marijuana under a state medical licence into Schedule III, which would be favourable for a medical-only Nebraska market; Nebraska’s own Attorney General is among the petitioners challenging that order in the D.C. Circuit. See rescheduling status and what it changes.
What can be bought and sold in Nebraska today
Two categories, both ordinary businesses:
- Ancillary businesses. Equipment, packaging, cultivation technology, point-of-sale and compliance software, security, construction, consulting, accounting, and real estate serving licensed operators in other states. None of it touches the plant, so it is not caught by 280E and is usually bankable. See ancillary cannabis businesses and plant-touching vs ancillary investment.
- Hemp and CBD businesses. These operate under the federal hemp definition and Nebraska’s own hemp programme. The ground is moving: under P.L. 119-37, cannabinoids the plant cannot naturally produce lose hemp status on 12 November 2026, while the total-THC test, the per-container THC cap, and the converted-cannabinoid exclusion were delayed by one month to 11 December 2026. Any hemp diligence should model inventory and SKUs against both dates. See hemp and CBD businesses.
Practical advice for Nebraska owners and investors
Watch the October 2026 hearing and the 2027 rule adoption before committing capital to a plant-touching position. If you already hold a cultivator licence, the sensible move is to document everything, because the first genuine Nebraska transactions will be scrutinised against rules written after the fact. If you own an ancillary or hemp business, your sale process is a normal small-business sale with cannabis-specific customer concentration risk, and it can proceed now.
Trade sources list Nebraska among the states reported to require a real estate licence to broker some business sales; we have not confirmed that from the statute. See business broker licensing by state. This page is educational and is not legal or tax advice, and Nebraska’s rules are changing quickly enough that anything here should be re-checked against the commission before you act. Frequently asked questions
Can I buy a Nebraska dispensary today?
No. As of September 2026 the Nebraska Medical Cannabis Commission had not licensed any dispensary, and it has said it will not license dispensaries or product manufacturers until the fees for those licence types are authorised. Any listing offering a Nebraska dispensary for sale is offering something that does not exist yet, or an application position rather than an operating business.
Can an application or a licence be sold before the market opens?
Treat that as unsettled and risky. Nebraska's rules are still being finalised, so the transfer and change-of-ownership provisions a buyer would rely on are not yet fixed. Buying into a pre-revenue position in a state whose regulations are not final is a capital-at-risk bet, not a business acquisition, and it should be priced and papered that way.
How many Nebraska licences will there be?
Few. The commission's approach has been a small number of licences allocated for statewide access, and interest has exceeded supply: ten manufacturer applications came in for a licence pool expected to be significantly smaller. Confirm the current numbers directly with the commission, because the caps have moved during rulemaking and are not final.
Why is Nebraska taking so long after voters approved it?
The initiatives created the authority but not the funded machinery. The commission had to write regulations, set fees, and clear Attorney General and Governor review, while a broader implementation bill, LB 677, died in committee and a doctor-immunity bill stalled in April 2026. Rulemaking slipped to 2027, which pushes any real market further out.
What can a Nebraska business lawfully do in cannabis right now?
Ancillary and hemp work. Equipment, packaging, software, consulting, security, accounting, real estate, and hemp or CBD businesses operating under the federal hemp definition are ordinary businesses that can be bought and sold normally. Anyone in hemp needs to plan for the federal definition changes on 12 November and 11 December 2026.
