Buying or selling a cannabis business in Illinois
Federal and state law current as of September 2026 — verify with counsel.
Illinois is a capped adult-use market split between two regulators: IDFPR licenses dispensaries, and the Department of Agriculture licenses cultivation centers, craft growers, infusers, and transporters. A license cannot be assigned. Every sale runs through a change-of-ownership application, the adult-use fee is $5,000 per license, and no owner may end up holding an interest in more than 10 dispensary licenses.
Key takeaways
- Illinois adult-use sales were $1.507 billion in 2025 and $684.3 million in the first half of 2026, of which $133.2 million came from out-of-state buyers.
- The Cannabis Regulation and Tax Act authorises up to 500 adult-use dispensary licenses; a 2026 practitioner guide reports 137 still unissued.
- A dispensing organisation may not assign its license, and any transfer needs prior IDFPR approval at a $5,000 adult-use change-of-ownership fee.
- No person may hold a direct or indirect interest in more than 10 adult-use dispensing licenses, which disqualifies some MSO buyers outright.
- Excise tax runs 10% at or below 35% THC, 25% above 35% THC, and 20% on infused products, plus a 7% cultivation privilege tax and up to 3% municipal tax.
Legal status and regulators
Illinois has allowed adult-use cannabis since 1 January 2020 under the Cannabis Regulation and Tax Act, 410 ILCS 705, and has run a medical programme since 2014. Two agencies share the work, which matters when you are buying more than one license type:
| Agency | Licenses it issues |
|---|---|
| IDFPR, Division of Cannabis Regulation | Adult-use dispensing organisations, medical dispensaries |
| Illinois Department of Agriculture | Cultivation centers, craft growers, infusers, transporters |
A vertically integrated deal therefore needs two approval tracks running in parallel, not one.
Are Illinois licenses capped?
Yes. The Act authorises up to 500 adult-use dispensing organisation licenses, and a 2026 licensing guide reports that 137 of the 500 remain unissued. Craft grower licenses are capped by statute as well, and application windows open rarely. That combination is why an existing Illinois license carries stand-alone value that a Michigan or Oklahoma license does not. The general framework is on limited-license vs open-market states.
How does a sale work in Illinois?
A dispensing organisation may not assign its license, and it may not transfer one without prior approval. IDFPR’s change of ownership guidance sets the process out and quotes sections 15-50(d) and 15-60 of the Act. The points that drive a deal:
- Fee. $5,000 per adult-use dispensary license in the sale application.
- Ownership cap. No person may end up with a direct or indirect interest in more than 10 adult-use dispensing licenses, and the application must show the cap is not exceeded.
- Disclosure. Anyone with a profit-sharing or revenue-sharing arrangement is treated as a principal officer. Revenue-based rent and earn-outs can pull a landlord or a seller into the license file. See true party of interest and financial interest rules.
- Exhibits. The agency lists sixteen, including a purchase agreement that states it is contingent on Department approval, and fingerprints for proposed principal officers taken within 30 days of filing.
- Community commitments. Approval can turn on whether the buyer adopts the same or a similar community engagement plan the license was granted on.
Conditional licenses from the social equity lotteries sit outside this process, which applies to full licenses and medical registrations; IDFPR says a conditional license cannot be sold, transferred, or assigned. Structure signing and closing around the approval gap using regulatory-approval contingencies, and choose the route with asset sale vs membership-interest sale. A practitioner survey published in April 2026 puts some Illinois approvals at eight to eighteen months, so build that into the timeline.
Asset buyers also file Form CBS-1 at least ten business days before the sale. Skipping it exposes the buyer to the seller’s unpaid state taxes up to the value of what was acquired; see tax liabilities and holdbacks in a sale.
Social equity and transfer restrictions
Illinois built its adult-use expansion around social equity lotteries, and many of those licensees never opened. A conditional license cannot be sold; a sale becomes possible only after the full license issues and the store is operating and inspected. That is the route behind the best-known reported price. In July 2024 a founder of social equity licensee Illinois Kindness told MJBizDaily that regulators had approved the sale of its retail license to Consume Cannabis for more than $2.5 million. Consume had built and opened the store in October 2023 under a managed-services agreement, and the founders said a sale was the surest way for investors to recover about half a million dollars. The price is the seller’s account, and it is evidence about an operating store in a capped market, not about what an unbuilt conditional license is worth. If you hold one of these licenses, read selling a social equity license and valuing a pre-revenue license before you negotiate.
Local control
Under 410 ILCS 705/55-25 a unit of local government, including a home rule unit, may adopt reasonable zoning rules for cannabis business establishments, so long as it does not use zoning as a disguised ban on possession or home cultivation. In practice siting is decided block by block. Chicago layers its own zoning and special-use process on top of the state license. Confirm early whether a change of owner triggers any local re-approval; the checklist is on local control and municipal approvals.
Taxes and 280E
The purchaser excise tax is set by potency, per the Department of Revenue:
| Product | Rate |
|---|---|
| Cannabis at or below 35% THC | 10% |
| Cannabis above 35% THC | 25% |
| Cannabis-infused products | 20% |
| Medical cannabis | Exempt from the excise, 1% sales tax |
Cultivators and craft growers also pay a 7% cultivation privilege tax on the first sale. On top of that a municipality may impose a Municipal Cannabis Retailers’ Occupation Tax of up to 3% in quarter-point steps, and a county may impose a County Cannabis Retailers’ Occupation Tax of up to 3.75% in unincorporated areas and 3% inside a municipality. Two stores twenty minutes apart can face materially different blended tax rates.
Illinois decoupled from federal 280E for state income tax under 35 ILCS 5/203 for tax years beginning on or after 1 January 2023. Federal 280E still applies to adult-use income.
Track and trace
Illinois moved to Metrc in July 2025, and IDFPR says the system’s point-of-sale reporting captures discounts and promotions more reliably than what came before. For a buyer, that means the useful verification window starts mid-2025; earlier revenue has to be tested another way. See verifying revenue with track-and-trace data.
Market conditions in 2026
Illinois adult-use sales were $1.507 billion in 2025. The first half of 2026 produced $684.3 million on 27.6 million items, tracking close to flat against the prior year. Out-of-state buyers accounted for $133.2 million of that, about 19%, which is the number to look at when pricing a store near the Wisconsin, Indiana, Iowa, or Missouri line. Cross-border demand is real but it is not permanent: Missouri already competes for it, and Wisconsin and Indiana have no market yet.
What this means for sellers
You are selling a scarce license in a market with steady, not rising, revenue. Get the license file clean first: current fingerprints, an accurate principal officer list, no undisclosed revenue-sharing, and no open compliance matters. Expect a long approval and negotiate for it, with a deposit, interest, or a price adjustment if the wait runs past a set date. Start with preparing a cannabis business for sale.
What this means for buyers
Check the 10-license cap before you spend money on diligence, because it rules out some buyers entirely. Underwrite the store on its own local tax rate, not a statewide average. Verify sales against Metrc from July 2025 forward. And confirm that every person with economic rights after closing, including any seller note holder or percentage-rent landlord, can be disclosed and cleared as a principal officer.
Is a broker license needed in Illinois?
Illinois regulates real estate brokerage, and a transaction that includes the building brings the Real Estate License Act into play. Whether a pure business sale requires a license is a narrower question and worth confirming for your facts; see business broker licensing by state. Frequently asked questions
How long does an Illinois cannabis change of ownership take?
Longer than most states. A practitioner survey published in April 2026 reports some Illinois deals taking eight to eighteen months from filing to approval. The application is document heavy, fingerprints for proposed principal officers must be recent, and the file sits with IDFPR alongside the rest of its licensing work. Price the delay into the deal rather than assuming a ninety-day close.
Can an Illinois social equity dispensary license be sold?
Not while it is conditional. IDFPR says conditional licenses from the 2021 and 2022 lotteries cannot be sold, transferred, or assigned. Once the full license issues and the store is operating, a sale can be approved: in 2024 a founder reported selling a social equity store, built and run since 2023 under a management agreement, for more than $2.5 million. Expect heavy scrutiny of who ends up in control.
Does Illinois follow federal 280E?
No, for state income tax. Under 35 ILCS 5/203 Illinois allows a subtraction for expenses that federal section 280E disallows, for tax years beginning on or after 1 January 2023. This applies to adult-use establishments under the Cannabis Regulation and Tax Act and to medical cultivation centers and dispensing organisations. Federal 280E still applies to adult-use income.
Do I have to notify the Illinois Department of Revenue when I buy a cannabis business?
If you are buying business assets, yes. Illinois uses Form CBS-1, the notice of sale, purchase, or transfer of business assets. It is filed at least ten business days before the sale. A buyer who skips the notice can be held personally liable for the seller's unpaid taxes up to the reasonable value of the property acquired, so the filing is a standard closing step.
Can an Illinois town refuse to allow a dispensary?
Yes, within limits. Under 410 ILCS 705/55-25 a unit of local government may adopt reasonable zoning rules for cannabis business establishments, and municipalities may restrict or prohibit them. The statute stops local government from using zoning as a disguised ban on possession or home cultivation, but siting authority is real. Local approval is often the slowest part of a relocation or a new build.
