Buying or selling a cannabis business in Missouri
Federal and state law current as of September 2026 — verify with counsel.
Missouri runs a constitutional adult-use market under the Division of Cannabis Regulation at DHSS. Licences stay with the entity, and the regulator approves ownership changes: 50% or more of the licensee needs prior approval at an $8,000 fee with up to 150 days to decide. Missouri sold about $1.52 billion of cannabis in 2025, and the state excise tax is 6%.
Key takeaways
- Missouri cannabis sales were about $1.52 billion in 2025, made up of $1.34 billion adult-use and about $174 million medical, roughly 3% above 2024.
- An overall ownership change of 50% or more from the last approved ownership needs prior approval: $8,000 and a decision within 150 days.
- A new individual owner below 50% costs $5,000 with a 90-day clock; moving a licence to a new entity with the same owners costs $2,000 with 60 days.
- The state excise tax is 6%, and in July 2025 the Missouri Supreme Court held 6-1 that counties cannot add their 3% tax on top of a city's inside an incorporated area.
- Missouri's 2025 microbusiness rules target contracts that strip operational control from eligible owners, including automatic future transfers of ownership.
Legal status and regulator
Missouri legalised medical cannabis by constitutional amendment in 2018 and adult use in November 2022, both written into Article XIV of the state constitution. The Division of Cannabis Regulation inside the Department of Health and Senior Services licenses comprehensive dispensaries, cultivation, manufacturing, testing, transportation, and the separate microbusiness tier. Because the framework is constitutional rather than statutory, the legislature cannot rewrite it casually, and disputes tend to end up in court rather than in the next session’s bill.
How does a sale work in Missouri?
The licence stays with the licensed entity and the regulator approves who owns it. 19 CSR 100-1.100 sets out three separate events, each with its own price and clock:
| Change | Fee | Decision period |
|---|---|---|
| Overall ownership change of 50% or more from the last approved ownership | $8,000 | Up to 150 days |
| New individual owner below 50% | $5,000 | 90 days |
| Same owners, different entity | $2,000 | 60 days |
Fees are payable at application, and the rule does not provide for a refund if approval is refused, so the purchase agreement should say who pays and what happens to the deposit. Missouri also requires brand, management, and consultant contracts to be filed with a 50%-plus application, which means the regulator reads any interim management arrangement alongside the purchase agreement.
Missouri regulators proposed revisions to the ownership rules in early 2026, so confirm the current rule text before relying on the thresholds above. The department keeps the forms on its business change applications page. For how the gap between signing and approval is handled, see regulatory-approval contingencies and staged closings and escrow pending approval.
Microbusinesses: a different set of rules
Missouri reserved a class of small licences for applicants who meet Article XIV eligibility criteria, including lower-income applicants, service-disabled veterans, people with non-violent marijuana records, and residents of high-poverty or high-incarceration ZIP codes. Licences were awarded by lottery. DHSS eligibility guidance states that applicants may not enter agreements that remove or diminish the operational control of eligible owners, now or in the future, including agreements that would transfer ownership automatically.
Rules adopted in December 2025 tightened this further after the department looked at turnover and at contracts described as predatory. If you are an investor hoping to fund a microbusiness and take control later, Missouri has written a rule against exactly that. If you hold a microbusiness licence and want to exit, read selling a social equity license first, and expect a narrow buyer pool.
Taxes
Missouri’s state adult-use excise tax is 6%, one of the lowest in the country, and there is no wholesale tax. Local government may add up to 3%. In July 2025 the Missouri Supreme Court held 6-1 that only one local government may impose that 3%: a city, town, or village where the store sits inside an incorporated area, or the county where it does not. Counties had been adding a second 3% to stores inside cities, and the ruling ended the practice.
For a buyer that matters twice. Post-ruling revenue is not directly comparable with the 2023 to mid-2025 period at stores that were double-taxed, and any refund exposure or pricing change should be traced through the numbers. Rates by state are compared on cannabis excise and potency taxes by state.
Missouri has not enacted a cannabis-specific state subtraction for expenses disallowed by federal section 280E, so plan on 280E flowing through to Missouri taxable income for adult-use activity.
Local control and track and trace
Local government in Missouri sets zoning and collects the local tax but does not hold the licence. That is a meaningful difference from Michigan, where the municipal permit is the scarce asset. Local detail is on the Kansas City and St. Louis pages, and the general framework on local control and municipal approvals. Missouri uses Metrc, so a buyer can reconcile reported sales against package data: see verifying revenue with track-and-trace data.
Market conditions in 2026
Missouri is one of the better-performing mid-sized markets. Sales reached about $1.52 billion in 2025, with $1.34 billion adult-use and about $174 million medical, roughly 3% above 2024. Growth is modest but positive, which is more than Michigan or California can say. Two structural supports help: a low 6% state excise, and neighbouring states with no adult-use market, so Kansas, Arkansas away from its medical programme, and parts of Iowa and Tennessee send customers across the line. The department publishes monthly figures on its data and reports page.
What this means for sellers
A profitable Missouri dispensary is a saleable business. The main work is documentary: a clean ownership record matching the last department approval, filed management and consulting contracts, current Metrc data, and a tax history that separates the pre- and post-stacking periods. Expect the buyer to want the 150-day clock covered by a deposit or a price escalator. See preparing a cannabis business for sale and how long does it take to sell.
What this means for buyers
Decide early whether you are crossing the 50% line, because the fee and the clock triple. Model revenue on post-July-2025 tax rates. Check how much of the store’s traffic comes from out of state; that is upside today and risk if Kansas or another neighbour legalises. Avoid microbusiness structures that put control anywhere other than with the eligible owners. Price with dispensary valuation multiples.
Is a broker licence needed in Missouri?
No licence is reported for a business sale that does not include real estate; adding the building brings Missouri’s real estate licensing law into play. The state-by-state position is on business broker licensing by state. This page is general education, not legal or tax advice. Frequently asked questions
What triggers a cannabis change-of-ownership application in Missouri?
Three things under 19 CSR 100-1.100: an overall ownership change of 50 percent or more from the last approved ownership, the addition of a new individual owner below that level, and moving a licence to a different entity with the same owners. Each has its own fee and decision period. Administrative and processing fees are payable at the time of application.
How long does a Missouri cannabis sale take to approve?
The rule allows the department up to 150 days to decide a 50 percent or greater ownership change, 90 days for a new individual owner below that level, and 60 days for an entity change with the same owners. Those clocks run on a complete application, so allow time to prepare the file and to answer completeness questions. Eight to nine months from signing is a realistic plan for a majority sale.
Can I buy a Missouri cannabis microbusiness licence?
Not in the way you would buy a comprehensive licence. Microbusiness licences are reserved for owners who meet the eligibility criteria in Article XIV, and rules adopted in December 2025 target agreements that remove or dilute the operational control of eligible owners, including arrangements that would transfer ownership automatically later. Treat any microbusiness deal as a control question first and a price question second.
How much local tax does a Missouri dispensary pay?
Up to 3 percent from one local government, plus the 6 percent state excise and ordinary sales tax. In July 2025 the Missouri Supreme Court ruled 6-1 that only one local government may impose the 3 percent tax: a city, town or village inside an incorporated area, or the county in an unincorporated area. Counties had been stacking a second 3 percent on stores inside cities.
Do Missouri regulators read the management agreement in a deal?
Yes. Under 19 CSR 100-1.100 brand, management and consultant contracts must be filed with a 50 percent or greater ownership-change application. That means an interim management or consulting arrangement between signing and closing is read alongside the purchase agreement, not separately. Write it as if the regulator will review it, because it will.
